The legally binding agreement between you and TradEX governing your access to and use of our platform and services.
Welcome
This Terms and Conditions ("Agreement") constitutes a legally binding agreement between you and TradEX concerning your access to and use of our services on our website and other digital platforms, whether as a visitor or registered user.
By accessing our services and onboarding on our Platform, you accept and agree to be bound by the terms set out under this Agreement. If you do not wish to be bound by this Agreement, please do not use or access our services.
This Agreement incorporates our Privacy Statement which forms part of these terms.
Version Control
We may make changes to this Agreement from time to time. When we do, we will update the "Last Updated" date. We may notify you through your registered email address, though this may not always be practicable - in which case you agree to waive the right to direct notification.
It is your responsibility to review this Agreement frequently. By using our services after any revision, you consent to be bound by the changes.
Definitions
Applicable Law
Every law applicable to the services under this Agreement for the time being in force in our jurisdiction of operation.
Confidential Information
All confidential and proprietary information shared between the parties - whether marked "confidential" or not - that by its nature is intended only for the receiving party, unless it enters the public domain through no fault of the receiving party.

TradEX is a Digital Trade and SME Empowerment Programme powered by Afrexim Bank and Patiti. We leverage technology to develop digital products that drive e-commerce across Nigeria and beyond, and are committed to safeguarding the safety and privacy of our users.
Acceptable Use Policy
Your continued use of our Platform is subject to compliance with our acceptable use requirements. You agree not to use our Platform for any of the following:
- Breach of any Applicable Law or regulations.
- Circumventing, disabling, or interfering with the normal operation of our services or affecting other users.
- Violating the rights of any third party.
- Modifying, deciphering, decompiling, disassembling, or reverse engineering any software forming part of our Platform.
Disclaimers & Limitation of Liability
5.1 As-Is Basis
We provide our services on an "as is" and "as available" basis. We do not guarantee that our services will meet your expectations or will be fully secured.
5.2 No Warranty of Continuity
We do not warrant that our Platform is free of viruses or errors, that content is accurate, or that services will be uninterrupted, timely, or error-free.
5.3 Express Disclaimer
We expressly disclaim all warranties of any kind, whether express or implied - including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, security, or accuracy.
5.4 Liability Limit
We shall not be liable for any direct or indirect losses arising from use of our Platform, except for losses due to our wilful misconduct or gross negligence.
5.5 Information Accuracy
No advice or information obtained from us will create any warranty not expressly stated in this Agreement. We do not guarantee the accuracy, completeness, or reliability of any information accessed through our services.
Indemnity
You will fully indemnify us for any loss or damage sustained when you fail to perform your obligations under this Agreement, an Applicable Law, or our acceptable use policy. Where your indemnification responsibility is triggered, it will also include any applicable interest added to the amount payable.
Confidentiality
Information received from you that is confidential in nature must be treated with the utmost confidentiality. Neither party will disclose such information to third parties without written consent. This clause does not restrict us from making disclosures to:
- Our affiliates or partners for the provision of the services.
- Law enforcement and regulatory authorities that require this information in the performance of their duties.
Third-Party Contracts
Your use of our services may be subject to additional terms that apply between us and our partners for the purpose of providing services to you. By using our services, you agree to be bound by any such additional terms.
General Provisions
Entire Agreement
These terms and conditions constitute the entire agreement between you and us in relation to your use of our Platform, superseding all previous agreements.
Revisions
We may revise these terms from time to time with notice to you. Revised terms apply from the date of publication on the Platform.
Waiver
No waiver of any breach of any provision shall be construed as a continuing waiver of any other breach of that or any other provision.
Severability
If any provision is determined to be unlawful or unenforceable, the other provisions will continue in effect.
Assignment
We may assign or transfer our rights and obligations under this Agreement. You may not do so without our prior written consent.
Governing Law
This Agreement and all disputes that may arise under it are subject to the laws of Nigeria, without regard for conflict of law rules. All disputes shall first be resolved by negotiation. Where negotiation subsists for 14 days without resolution, the dispute shall be referred to mediation.
Updates & Electronic Communications
To improve user experience and broaden our services, we will make updates to our Platform from time to time - including new features and additional services. By consenting to this Agreement, you agree to be migrated to improved versions of our Platform. We will provide notice before migration, and you have the right to discontinue use where new features do not meet your needs.
You consent to receive all notices, disclosures, and communications required under this Agreement electronically - through email and other commercially acceptable electronic means. This Agreement may be executed through digital signatures, the legality of which you may not repudiate at any future time.
